terms of service FIZZY AFFILIATES TERMS AND CONDITIONS OF USE PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT APPLY TO ALL AFFILIATES. 1. General The following terms and conditions of use, the application form provided, and any other additional terms we provide to you via email or on our Site(s) (the Agreement) contain the full terms and conditions that apply to your participation in our Affiliate Program. We reserve the right to modify this Agreement at any time and your participation in our Affiliate Program is deemed acceptance of this Agreement and any modifications to it. Please ensure that you check our Site(s) regularly for any modification or updates to this Agreement. This Agreement modifies, replaces and supersedes any previous version. In the event that there is a conflict between this Agreement and any other additional terms, this Agreement shall take precedence unless such additional terms expressly reference variation to this Agreement. 2. Definitions Where used in this Agreement, references to: you your, You, Affiliate mean the individual or entity which applied as the Affiliate account holder. We, Our, Us, means 3RD sense Australia Pty Ltd “Fizzy”, “Fizzy.com” means the website owned by 3RD sense Australia Pty Ltd for which the Fizzy Affiliates scheme operates Site(s) means the Fizzy website and any other online Site(s) or platform which is owned, operated or controlled by or on behalf of us. Player(s), User(s), Customer(s), “Visitor(s) means any person referred to us by your website(s). Game Product(s) means any game(s) provided to Players on our Site(s) for which Players pay a fee to purchase. “Site Subscription Fee(s)” means any fee(s) which Players pay to Us to access Subscription Membership services on our Site(s). Affiliate Program means the affiliate scheme offered by us pursuant to this Agreement. Promotion Rights mean the non-exclusive, non-transferable right and licence to advertise market and promote our Services. Fraud means traffic and financial transactions generated on our Services through illegal means or any other action committed in bad faith to defraud us, as determined by us in our sole discretion. Marketing Materials means promotional games, banners, text links and any other marketing materials, which are made available by us, that you may use to refer Visitors to our Services. Charge back is a payment dispute initiated by a cardholder with their credit card issuing bank. The amount of the disputed transaction is immediately withdrawn from the merchants bank account. Refund is a payment returned to customer either as part of our refund policy or where it is felt appropriate to do so by our customer services staff “Commission Structure” means the payment plan described in section 7 of this agreement which you accept on entering this Affiliate Program. Commission Fees means the payments made to you based on the Commission Structure you have accepted for a revenue stream generated from Players you refer to us. Spam means unsolicited e-mail of a commercial nature, sent indiscriminately to multiple mailing lists, individuals, or newsgroups. Affiliate Link means the unique URL which we will provide to you and to where you will send your Players and Visitors. This URL allows us to track your visitors and allocate commission on sales to you. “Link Materials” means promotional games, textual and graphical links and HTML code 3. Our obligations 3.1. We shall retain the right to provide our Sites and Game Products and operate our Affiliate Program in any form we deem appropriate. We retain the right to change or cancel any part of our Sites, at any time and in any manner we deem appropriate and may make alterations to our Affiliate Program or cancel this Affiliate Program Agreement without prior notice to you. However, any strategic change of policy, such as the cancellation of any part of our Sites, our Game Products or this Affiliate Program Agreement at any time, shall be made with prior notice to you. Cancellation shall be effective seven (7) days after notice of cancellation to you. 3.2. Notwithstanding the terms of this Agreement, we shall not be held responsible or liable for any loss of income, or loss of the ability to produce income, incurred by you even if such losses should arise from our inability to deliver the Sites, the Game Products and/or operate our Affiliate Program for any reason whatsoever, whether we are at fault or whether a third party is at fault. 3.3. Users that utilise the facilities and Sites and Game Products we provide, and all information relating to such Users, shall remain our property at all times. 4. Your obligations 4.1. You shall use reasonable endeavours to actively and effectively advertise, market and promote our Sites and our Affiliate Program as widely as possible so as to maximise the benefit to both of us. You acknowledge and agree that Users that utilise the facilities and Sites we provide, and all information relating to such Users, shall remain our property at all times. You will not during the Term of this Agreement or after its termination assert any proprietary rights over such information. 4.2 On cancellation of this Affiliate Program Agreement by us: You shall stop promoting our Services and all rights and licences given to you under this Agreement will terminate immediately. You shall return to us any and all materials, over which we have a proprietary right, that are in your possession or control and/or including the possession or control of your agents, servants, directors, employees or sub-contractors over which you have control. You shall also immediately remove any hyperlinks and materials, over which we have a proprietary right, from your website(s) and/or the websites of your agents over which you have control. Provided that we have paid or do pay to you such sums as are properly due and owing at the date of termination which shall be subject to any rights we have to make deductions whether under this Agreement or otherwise, we shall have no further liability to pay you any further sums. 4.3. You shall engage only in advertising, marketing and promotional efforts which do not violate any law, and which reflect positively upon our business reputation. In particular, you agree to market our Sites, our Game Products and our Affiliate Program in a manner that is consistent with the content and style of our Sites. We reserve the right to review and approve the manner and methods of advertising, marketing and promotion you intend to use in connection with our Sites, our Game Products and our Affiliate Program prior to you doing so. Our approval shall not be unreasonably withheld or delayed. 4.4. Our approval may be withheld if we consider in our sole discretion that your proposed activities would tend to impair or harm our goodwill and business reputation and/or would or might expose us to any legal liability. 4.5. Notwithstanding any approval that we give, we shall under no circumstances be held liable for your advertising, marketing and promotional efforts in respect of the Sites and Games Products. 4.6. You shall bear all costs of and expenses incurred in connection with the advertising, marketing and promotion of our Sites and Game Products and/or our Affiliate Program. 4.7. You may terminate this Agreement, with or without cause, upon 7 days notice to us which you should send to us on the Contact Us form in the Affiliates Control Panel at http://affiliates.fizzy.com. 5. Participation To participate in the Fizzy Affiliate Program, the online affiliate registration form must be completed and submitted to http://affiliates.fizzy.com. 3RD sense Australia Pty Ltd reserves the right to refuse participation to the Fizzy Affiliate Program if we determine that your site is unsuitable for the program. Unsuitable sites include those that: promote illegal activities promote sexually explicit materials promote violence promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age violate intellectual property rights or are otherwise deemed inconsistent with the best interests of 3RD sense Australia. This agreement shall apply only to Affiliate owned and managed websites as indicated in the registration form. Under no circumstances may Fizzy Affiliate Links be placed on sites not registered with http://affiliates.fizzy.com. 6. Link Materials 6.1. We will provide you Link Materials with which you may link to or include in your website for reference to Game Products via Fizzy.com. These Link Materials are available in your affiliate login panel. If you are an approved Affiliate, we grant you a non-exclusive limited license solely to reproduce and use these Link Materials, including our trademarks to the extent they are incorporated into these Link Materials, only while you are an Affiliate and only in accordance with the terms and conditions of this Agreement. You may include Affiliate Link materials in mailings to your opted-in lists (see section 6: Spam) and in other advertisements at your discretion. 6.2 The Link Materials will contain the Affiliate Link which allows us to track your Players and Visitors to our Site. 7. Marketing Activities and Responsibilities 7.1. You agree to: display the Link Materials appropriately on your website and in advertisements and in other marketing materials. respect our trademarks, service marks, and other rights in the Link Materials. to use only these Link Materials to link to Fizzy, and you will not alter the look or feel of these Link Materials or of our website in any way. to use reasonable efforts to update to new versions of Link Materials as we make them available. 7.2 You agree not to: promote us in any manner that may confuse potential visitors to our site. promote us in any manner that could potentially cause any player confusion as to our relationship with you or any third party. violate the terms of use and/or any applicable policies of any search engines. modify the marketing material provided for the promotion of our Sites and Game Products once approved by us. unless otherwise agreed, attempt to communicate with our Players or attempt to solicit them, including but not limited to via email, message boards, blogs. 8. Spam If we are aware or reasonably believe that you are using any form of Spam, we shall be entitled to close your account and withhold the Referral Percentage (or any portion of it) that might otherwise be due to you. Immediately on demand from us, you must pay any costs or expenses that we incur in dealing with any Spam which we are aware or reasonably believe emanates from you. Suspected spam should be reported to us via the Contact Us form in the Affiliates Control Panel at http://affiliates.fizzy.com. 9. Commission Fees 9.1. 3RD sense will pay approved Fizzy Affiliates Commission Fees on designated Game Product sales to third parties. For a Game Product sale to be eligible for a Commission Fee, the Player must follow a Fizzy Affiliate Link from your site to our site, select and purchase the Game Product and remit full payment to us. The visitor must have cookies enabled on their computer to allow us to track their purchase. 9.2. Selection and purchase of the Game Product by the Player must be made within 30 days of following the Affiliate Link. We will not make Commission Fee payment on Game Product purchases made after 30 days of following the Affiliate Link. 9.3. Commission Fees will be paid for Players who make a purchase within 30 days of following an Affiliate Link who already have an account with Us. 9.4. Commission Fees will not be paid against chargebacks or refunds. 9.5. Commission Fee payments are issued in Australian dollars. 10. Commission Structure 10.1 Your Commission Fees will be based on the percentage of Game Product sales generated by the Players who have been identified as having made a Game Product purchase as a result of having been referred to Our Site(s) by you each month. The commission are detailed in the affiliate software. 10.2 Affiliates have the opportunity to sign-up other affiliates into their own Direct Network in the Affiliate Program. These affiliates will be deemed to be in Tier 1 of your Direct Network. Affiliates in Tier 1 also have the opportunity to sign-up their own affiliates into your Direct Network. An affiliate signed into your Direct Network by an affiliate in Tier 1 will be deemed to be in Tier 2 of your Direct Network. You will earn commission on monthly revenue from Game Product sales generated by all affiliates in your Direct Network as detailed below: Direct Network Tier Commission Percentage Tier 1 = 4% Tier 2 = 1% This means, for all affiliates in Tier 1 in your Direct Network you will earn 4% commission on Game Product sales revenue from their Players and for affiliates in Tier 2 you will earn 1% commission on Game Product sales revenue from their Players. These commissions are over and above commission earned on Game Product sales revenue from your Players. 11. Payment Terms 11.1 Commission fee payment will be made 30 days after the end of the month in which the Game Product purchase is made. 11.2 We will only make payment on Affiliate accounts with a minimum balance of $100 dollars. Affiliate accounts with a balance of less than $100 at the end of the month will be carried over into subsequent months until the balance reaches $100. 12. Payment Methods 12.1 Affiliates must choose commission fee payment by PayPal or wire transfer. Payment by wire transfer incurs a $35 processing fee per transfer. 12.2 You will have the ability to monitor Commission Fees earned through the Affiliates Control Panel on the website at http://affiliates.fizzy.com. 13. Fraud Limitations We reserve the right to remove and/or discount referred Players or Net Revenue amounts from your Affiliate account, or reject the applications of new referred Players so as to protect our operations from Fraud. We also reserve the right to refuse or terminate the provision of our Services to any potential or existing referred Player, at any time, and in our sole discretion. For the avoidance of doubt, any such data relating to your referred Players shall remain our exclusive property. 14. Term of Agreement The term of this Agreement will begin upon our acceptance of your Affiliate Program application and will end when cancelled by either party, in accordance with the terms outlined in clauses 1.1 and 2.7 of this Agreement. 15. Modification We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on http://affiliates.fizzy.com. Modifications may include, for example, changes in the scope of available Commission Fees, Commission Structure, Payment Terms and Affiliate Program rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the program following our posting of a change notice or new agreement on our site will constitute binding acceptance of the change. 16. Relationships of Parties 3RD sense Australia Pty Ltd and your company are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this agreement. 17. Limitation of Liability We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Affiliates Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliates Program will not exceed the total Commission Fees paid or payable to you under to this Agreement. 18. Disclaimer We make no express or implied warranties or representations with respect to the Affiliates Program or any products sold through the Affiliates Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our Site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. 19. Law and Jurisdiction This Agreement will be governed by the laws of New South Wales, Australia. Any action relating to this Agreement must be brought in the federal or state courts located in New South Wales, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
